The entry period for the “DC All Access League Up!” (“Contest"), sponsored by E.C. Publications, Inc. d/b/a DC Entertainment ( “Sponsor”), begins at 10:00:00 a.m. Pacific Standard Time (“PT”) on Wednesday, July 19, 2017 , and ends at 10:00:00 a.m. PT on Sunday, October 8, 2017 (the “Contest Period”). There will be three (3) rounds during the Contest Period, with each round as outlined below (where the Start Date through the End Date for each Round shall be considered to be the “Contest Period” for such Round). Sponsor’s computer will serve as the official time piece for the Contest. All federal, state and local laws and regulations apply.
THE PURPOSE OF THE INITIAL ROUND OF THIS CONTEST IS TO SELECT FOUR (4) TEAMS (EACH TEAM, A “LEAGUE”, AND UPON SELECTION FOLLOWING THE INITIAL ROUND, A“LEAGUE FINALIST”), WHERE EACH LEAGUE IS COMPRISED OF FIVE (5) JUSTICE LEAGUE SUPER FANS EACH (SUCH SUPER FANS “LEAGUE MEMBERS”, OR “CONTEST ENTRANTS”), WHO WILL PARTICIPATE IN A DC ALL ACCESS COMPETITION FOR A CHANCE TO ATTEND THE 2017 WORLD MOVIE PREMIERE OF JUSTICE LEAGUE (NOTE: DATE, TIME, LOCATION AND ADDITIONAL DETAILS TO BE ANNOUNCED BY SPONSOR) (THE “PREMIERE”). ONCE SELECTED, EACH LEAGUE FINALIST WILL BE REQUIRED TO ENTER INTO SEPARATE, SPONSOR PROVIDED AGREEMENTS AND RELEASES IN ORDER TO BE ELIGIBLE TO PARTIPATE IN ROUND 2 OF THE CONTEST. FAILURE BY ANY LEAGUE FINALIST TO COMPLETELY EXECUTE SUCH AGREEMENTS AND RELEASES WILL RESULT IN SUCH LEAGUE FINALIST BEING DECLARED INELIGIBLE AND BEING DISQUALIFIED. PLEASE READ THESE OFFICIAL RULES IN THEIR ENTIRETY FOR FULL TERMS AND CONDITIONS, INCLUDING ELIGIBILITY, SUBMISSION GUIDELINES AND PRIZE DETAILS. BY ENTERING (OR OTHERWISE PARTICIPATING) IN THIS CONTEST, LEAGUE MEMBERS AND THEIR LEAGUES VERIFY THAT THEY AGREE TO THESE OFFICIAL RULES, WHICH CREATES A CONTRACT SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, SUCH CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES FROM YOU TO SPONSOR, A CLASS ACTION WAIVER, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES. 1. ELIGIBILITY: The Contest is open to teams consisting of five (5) individuals who are each (a) eighteen (18) years of age or the age of majority (whichever is older) on the date of entry and (b) a legal resident of and physically residing in one of the 50 United States or the District of Columbia (excluding Puerto Rico, Guam, American Samoa, United States territories, possessions, and protectorates, foreign based United States military installations and wherever restricted or prohibited by law) (individually, a “League Member” and collectively as a team of 5, a “League”). Neither Sponsor nor employees of Sponsor, DC All Access, Telepictures Productions Inc., Time Warner, Warner Bros. Entertainment Inc., persons involved in the creation, development or production (including cast and crew) of JUSTICE LEAGUE, San Diego Comic Convention, New York Comic-Con, the entity or entities supplying all or part of the Prize, and each of their respective partners, parent companies, divisions, subsidiaries, affiliates, advertising, promotion and public relations agencies and their respective officers, directors, employees, representatives and agencies (collectively, the "Contest Entities”) are eligible to participate in the Contest and/or to win the Prize (as defined below). Additionally, immediate family members of such employees and persons living in the same household as such employees (whether related or not) are not eligible to win. For the purposes of this Contest, “immediate family members” is defined as spouse, domestic partner, mother, father, grandmother, grandfather, children, siblings and their spouses. 2. HOW TO ENTER: Online entry is the only method of entry for the Contest. If a League uses a compatible mobile device and chooses to use it to participate in this Contest, standard message and data rates may apply based on the terms and conditions of the League Member’s wireless carrier’s plan. Other charges may apply, such as normal airtime and carrier charges, and may appear on your mobile device bill or be deducted from your mobile device prepaid account balance. Wireless carriers’ rate plans may vary, and Leagues should contact their wireless carrier for more information on data rate plans and charges relating to their participation in this Contest. League entries received before and/or after the either the Round 1 Contest Period, or the Round 2 Contest Period (if a League is a League Finalist) will be void. Upon submission, all League entries become the sole property of Sponsor and will not be acknowledged or returned. (A) ROUND 1 CONTEST PERIOD: INITIAL VIDEO SUBMISSION If a League meets the eligibility criteria set forth above, then in order to enter, Leagues must go to the Contest website located at www.leagueupcontest.com during the Round 1 Contest Period and follow the steps below: (i) Review these Official Rules for Contest details, submission instructions and criteria. (ii) Create an original video clip of your League to be posted on Twitter (“Initial Video”), that
The content of the Initial Video must be wholly original to the League (e.g., not contain any third party content including, without limitation, trademarks, logos, music or artwork), not violate or infringe any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary or intellectual property right of any person or entity, and may not be defamatory, libelous, obscene, or otherwise illegal. No other person other than the League Members may appear in the Initial Video. League Members cannot wear any clothing (including, without limitation, a hat) which includes a visible third party (i.e., non-DC Entertainment related) trademark or logo. (iii) Once the Initial Video is completed, one (1) designated League Member must upload and publicly tweet via Twitter the League’s Initial Video tagging @dccomics, and including #LeagueUpContest and the link SUBJ2Rules@bit.ly/2tR3v0c in the League’s tweet*. Tagging the Initial Video to @dccomics and including #LeagueUpContest and SUBJ2Rules@bit.ly/2tR3v0c serves as acknowledgment of and acceptance by the League and each of its League Members of these Official Rules. Any Initial Video submitted by a tweet that does not include the tag @dccomics and #LeagueUpContest and SUBJ2Rules@bit.ly/2tR3v0c, will be deemed ineligible. The tweet of the League’s Initial Video must be received by Sponsor by 11:59:59 p.m. PT on Friday, August 18, 2017 to be duly entered in the Contest. * At least one (1) League Member must have a valid, public (i.e., not “protected”), free Twitter account. If you create such a Twitter account, please be aware that you must agree to comply with Twitter’s Terms of Use and Privacy Policy. Leagues must also follow the official DC Twitter account, @dccomics, during the Contest Period, and until confirmed if declared as the Prize Winner. Once submitted, Initial Videos cannot be deleted, cancelled or modified. A retweet does not constitute a Contest entry. Any League found to be using multiple Twitter accounts to enter the Contest multiple times (whether with the same Initial Video or not) will be disqualified. Any League found to be using the Twitter handle of a group, company or other association, will be disqualified. Limit one (1) Initial Video per League during the Round 1 Contest Period. If a League submits multiple videos during the Round 1 Contest Period, only the first video received by Sponsor will be deemed the League’s Round 1 Initial Video entry. Round 1 Initial Video entries generated by a script, macro or other automated means will be disqualified. Illegible, inaudible, or incomplete Round 1 Initial Video entries, as determined by the Sponsor in its sole discretion, will be disqualified. Sponsor will not deem proof of submission of an entry as proof of receipt of an entry. Leagues may not pay or otherwise compensate others, or engage in or encourage automated voting for their Initial Video, nor may they engage in, assist, or encourage any other type of voting that violates these Official Rules. Any attempt to do so will result in disqualification from the Contest. By submitting an Initial Video into the Contest, whether complete or not and whether eligible or not, each League represents and warrants to Sponsor and the Sponsor Entities that the Initial Video: (i) is the League’s original creation; (ii) has not copied, in whole or in part, any other work; (iii) does not violate or infringe any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary or intellectual property right of any person or entity; (iv) is not defamatory, libelous, obscene, or otherwise illegal; and (iv) is the sole and exclusive property of the League and/or its individual League Members, and is not subject to any third-party rights. Submission of false or misleading personal information or copied, plagiarized, offensive or otherwise inappropriate statements or images (as determined by Sponsor in its sole discretion) will be grounds for disqualification from the Contest. Initial Videos may be distributed and exploited by Sponsor pursuant to Paragraphs 6 and 7 below. Round 1 Selection Process: From all Initial Videos that have complied with all eligibility and content requirements, Sponsor shall judge and select four (4) League Finalists based on the following criteria (as determined by Sponsor in its sole judgment): (a) creative concept (45%); (b) JUSTICE LEAGUE character/qualities interpretation (30%); (c) familiarity with and knowledge of the DC Universe (20%); and (d) social media likes (5%). If a potential League Finalist is found ineligible or fails to comply with these Official Rules, such League’s claim to the League Finalist spot is forfeited and an alternate qualifying League may be selected as a League Finalist, at Sponsor’s discretion and if time permits. Potential League Finalists will be notified by Sponsor that they have been selected as League Finalists via direct message through Twitter to the Twitter account that originally submitted the Initial Video. If a potential League Finalist does not respond, elects to not participate further, and/or fails to return all Sponsor-required documentation and signatures within twenty-four (24) hours following the date/time the potential League Finalist is direct messaged by Sponsor, then that potential League Finalist will be disqualified and an alternate League Finalist may be selected, at Sponsor’s sole discretion and if time permits. Once Sponsor confirms eligibility and a League Finalist returns all Sponsor-required documentation, Sponsor shall notify and declare the League a League Finalist advancing to Round 2. (B) ROUND 2: LEAGUE FINALISTS CHALLENGE VIDEO SUBMISSION: The confirmed League Finalists chosen from Round 1 will be required to compete in Round 2 by creating and submitting a new video (“Celebration Challenge Video”). The Celebration Challenge Video must: (i) be no longer than two (2) minutes in length; (ii) be an original video submission in which you and your League Members make your League’s JUSTICE LEAGUE Celebration a reality!; (iii) follow any all Sponsor provided supplemental submission guidelines provided by Sponsor at the time of confirmation of your League’s advancement to Round 2, if any; and (iv) submit your Celebration Challenge Video to Sponsor in a form a manner as may be directed by Sponsor, by 11:59:59 p.m. PT, September 22, 2017. In addition to Sponsor provided submission guidelines, the content of each Celebration Challenge Video must be wholly original to the League Finalist (e.g., not contain any third party content including, without limitation, trademarks, logos, music or artwork), not violate or infringe any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary or intellectual property right of any person or entity, and may not be defamatory, libelous, obscene, or otherwise illegal. Inclusion of others in your Celebration Challenge Video will require your League to obtain proper appearance authorizations in the form of a release. League Finalists appearing in a Celebration Challenge Video cannot wear any clothing (including, without limitation, a hat) which includes a visible third party (i.e., non-DC Entertainment related) trademark or logo. By submitting any Celebration Challenge Video, whether complete or not and whether eligible or not, each League Finalist represents and warrants to Sponsor and the Sponsor Entities that the Celebration Challenge Video: (a) is the League Finalist’s original creation; (b) has not copied, in whole or in part, any other work; (c) does not violate or infringe any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary or intellectual property right of any person or entity; (d) is not defamatory, libelous, obscene, or otherwise illegal; and (e) is the sole and exclusive property of the League Finalist and/or its individual League Members, and is not subject to any third-party rights. Submission of any copied, plagiarized, offensive or otherwise inappropriate statements or images (as determined by Sponsor in its sole discretion) will be grounds for disqualification from the Contest. Celebration Challenge Videos may be distributed and exploited by Sponsor pursuant to Paragraphs 6 and 7 below. (C) ROUND 3: PUBLIC VOTING AND DC JUDGING Public Voting Round: The Celebration Challenge Videos submitted by the League Finalists will be posted by Sponsor on the free DC All Access App** for one (1) round of public voting commencing at 10:00 a.m. PT Monday, September 25, 2017 and ending at 10:00 a.m. PT Monday, Oct. 2, 2017 (the “Public Voting Period”). During the Public Voting Period, the public will be allowed to vote on their favorite Celebration Challenge Video. Each member of the public can vote for no more than one (1) League Finalist Celebration Challenge Video and no more than one (1) time during the Public Voting Period. **Leagues and voters require access to the free DC All Access App (the “App”). The App can be downloaded from the Apple or Android app stores. Once downloaded, Leagues and voters will be required to create a free user account and accept the App’s Terms of Use and Privacy Policy. League Finalists may not pay or otherwise compensate others, or engage in or encourage automated voting for their Celebration Challenge Video, nor may engage in, assist, or encourage any other type of voting that violates these Official Rules. Any attempt to do so will result in disqualification of that League Finalist from the Contest. Sponsor reserves the right to suspend the Public Voting Round at any time if the process fails to operate properly or if Sponsor believes, in its sole discretion that it appears to be tampered with, tainted with fraud and unfair practices. If Sponsor suspends the Public Voting Period, the DC judges panel (described in the following paragraph) will select the winning League Finalist from among the remaining League Finalists in good standing. Final DC Judging Round: On or about Thursday, October 5, 2017, a panel of DC judges shall review the Celebration Challenge Videos of the two (2) League Finalists that received the highest number of public votes, and shall choose the final and winning League Finalist based on the following criteria: (a) creative themes and execution (50%), (b) character/qualities interpretation (20%), (c) familiarity with and knowledge of the DC Universe (10%), (d) App polling (10%), and (e) community benefit (10%). In the event of a tie, the League Finalist with the highest creative themes and execution score will be declared the winning League Finalist (each League Member and collectively as a League Finalist, a “Prize Winner”). All judging decisions are final and non-appealable. Announcement of Prize Winner: It is currently intended that Sponsor will announce the Prize Winner at New York Comic-Con 2017, or shortly thereafter. Prize Winners will be individually notified by Sponsor as well. 3. PRIZE: Subject to Paragraph 4, each Prize Winner will receive the following: A trip for one (1) to the world movie premiere of JUSTICE LEAGUE (date, time and location to be announced by Sponsor), which includes: (i) subject to the additional terms and conditions stated below, roundtrip coach airfare for each winning Prize Winner on an airline selected by Sponsor, in its sole discretion (if any Prize Winner resides 150 miles or less from the Premiere location, ground transportation to and from the Prize Winner’s residence will be substituted and that Prize Winner will not receive the difference in price between the airfare and the ground transportation). Departure flight must leave from a major airport nearest the Prize Winner’s city of residence (as determined by Sponsor in its sole discretion); (ii) two (2) nights single-occupancy hotel accommodations at a Sponsor selected hotel, and ground transportation to/from the airport to the hotel (at Sponsor’s sole discretion); (iii) a $100 per diem for each Prize Winner; and (iv) one (1) pass to the Premiere (collectively, the “Prize”). Sponsor will select, in its sole discretion, all dates, times, and the location of the Prize. Approximate retail value (“ARV”): $7,500.00-$10,000.00 Once airfare reservations are made they cannot be amended unless required by Sponsor. Once issued, airline tickets are non-transferable and may not be reissued. Open airline tickets may not be issued and stopovers are not permitted. Travel and accommodations may not be combined with any other offer, and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of the Prize Winners. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor reserves the right to reschedule all travel for a later date within or outside of the Premiere’s travel period or to cancel any remaining elements of the Prize. All expenses not specifically mentioned herein are not included in the Prize and are solely the Prize Winner’s responsibility including, without limitation, insurance, meals, room service and souvenirs. Sponsor is not responsible for lost, damaged, destroyed or misplaced luggage. The ARV of the travel portion of a Prize may vary depending upon the point of departure and fare fluctuations. The Prize is subject to black-out dates and other travel restrictions. Sponsor will not replace any lost or stolen tickets, vouchers, or certificates (including the pass to the Premiere). If any Prize Winner engages in disruptive behavior while traveling to or during Prize Winner’s stay, Sponsor shall have the right, in Sponsor’s sole discretion, to revoke the passes to the Premiere. In that event, the Prize Winners will forfeit any unused portion of the Prize. 4. ADDITIONAL PRIZE INFORMATION: In order to receive the Prize, all Prize Winners will be required to review and execute further contracts and releases provided by Sponsor within twenty-four (24) hours following the date/time of Sponsor’s notification to the Prize Winner that it has won the Prize. If a Prize Winner does not accept the Prize and/or fails to return all required documentation and signatures within twenty-four (24) hours following the date the Prize Winner is notified by Sponsor that it has won the Prize, then that winning League Finalist will be disqualified and the Runner Up League Finalist will be selected as Prize Winner, if time permits. Refusal, undeliverable or late return of any notifications, and any post-Contest required documentation will result in the winning League Finalists disqualification. There is no substitution for any Prize or any portion thereof. The Prize is not transferable, assignable or redeemable for cash. All Prize details are at Sponsor’s sole discretion. Prize Winners are solely responsible for the reporting and payment of any and all federal, state and local taxes as well as any other costs and expenses associated with acceptance and use of the Prize not specified herein as being awarded. Prize winners may be issued an IRS form 1099 based on the ARV the Prize. The value of the Prize set forth above represents Sponsor’s good faith determination of the ARV thereof and cannot be challenged or appealed. The Prize consists of only those items specifically listed above as part of the Prize. 5. PRIVACY STATEMENT: Contest Entrants’ personal information will be utilized by the Sponsor for the administration of the Contest, fulfillment of the Prize and to comply with legal requirements. Contest Entrant’s entries will be subject to Sponsor’s Privacy Policy (www.warnerbros.com/privacy). 6. OWNERSHIP AND LICENSE: All Contest related materials, including submission entries (“Submission”) become the property of the Sponsor upon submission and will not be acknowledged or returned. The copyright in any Submission shall remain the property of the Contest Entrant, but by submitting and/or uploading an Initial Video and/or a Celebration Challenge Video, each Contest Entrant: (i) grants DC Entertainment, Warner Bros. Entertainment Inc. and each of its parent, affiliates, subsidiaries, licensees, successors and assigns ("WB Parties"), the non-exclusive, perpetual, royalty-free, no-cost license and right to use and otherwise exploit the Initial Video and/or Celebration Challenge Video and all images, text and content included or depicted therein, in whole or in part, in any manner or medium now or hereafter known or devised or discovered (including, without limitation, DVDs, streaming media, film, television, print, interactive devices, mobile media, Internet and on-line systems), throughout the universe and in any and all languages. The WB Parties will have the right to use the Initial Video, Celebration Challenge Video and all images depicted therein (if any), in any merchandising, advertising, marketing, promotion or for any other commercial or non-commercial purpose; (ii) waives and relinquish all so-called "moral rights” (droit moral) now or hereafter recognized in connection with the Initial Video and Celebration Challenge Video; and (iii) acknowledges that he/she will not receive any compensation, including without limitation, licensing fees, royalties, payments, or any other form of consideration from any WB Parties for its use of the Initial Video and/or Celebration Challenge Video. Any use of any of the trademarks or copyright interests of any of the Contest Entities (including the WB Parties) is strictly prohibited and may subject a Contest Entrant to civil and/or criminal liability. 7. PUBLICITY GRANT: Except where prohibited by law or Sponsor’s Privacy Policy, the Prize Winners shall be required to grant Sponsor and the Contest Entities the perpetual and irrevocable right and license to use his/her name, photograph, visual and audio likeness, Videos, Initial Video and Celebration Challenge Videos, biographical information, address (including city and state of residence) and any other information contained in his/her entry on a worldwide basis, and in all forms of media now known or hereafter invented or discovered (including, without limitation, on the Sponsors’ web sites), in perpetuity, without further compensation, notice, review or approval. 8. NO WARRANTIES: ALL PRIZES ARE PROVIDED “AS IS” AND “with all faults.” CONTEST ENTITIES make no warranties, express or implied, in fact or in law, relative to the use or enjoyment of any prize, or any portion thereof, including, without limitation, its quality, merchantability or fitness for a particular purpose. Any and all warranties for a prize, or any portion thereof, are contained in the manufacturers’ or service providers’ warranties, as relevant. All trademarks utilized as part of the Contest or the Prize are the property of their respective owners. The use of certain companies’ products and services as prizes does not imply participation in, approval of, or endorsement of this Contest by such companies. 9. RELEASE, HOLD HARMLESS AND INDEMNIFICATION: By entering, ALL Entrants IN THE CONTEST, CONTEST ENTRANT’s HEIRS, EXECUTORS, ADMINISTRATORS, LEGAL SUCCESSORS AND/OR ASSIGNS release and agree to defend, indemnify and hold harmless the SPONSOR AND ALL CONTEST ENTITIES From and against any and all claims, demands, losses and causes of action for any DAMAGES (INCLUDING, WITHOUT LIMITATION, ALL CONSEQUENTIAL, punitive, AND INCIDENTAL DAMAGES), liability, loss, cost, fees (including attorneys’ fees), including, without limitation, damage to PERSON (INCLUDING DEATH) OR personal or real property, due in whole or in part, directly or indirectly, by reason of (I) ENTRANT’S PARTICIPATION IN ANY CHALLENGE, (II) THE acceptance, possession, REDEMPTION, MISDIRECTION, use or misuse of ANY prize OR ANY PORTION OF ANY PRIZE (including any activity OR TRAVEL related thereto), (III) participation in the CONTEST and the CONTEST’S ACTIVITIES OR, (IV) FOR ANY And all claims based on rights of publicity and rights of privacy WHETHER any of these things are CAUSED, IN WHOLE OR IN PART, BY THE ACTS, OMISSIONS, NEGLIGENCE OR MISCONDUCT OF THE SPONSOR AND/OR THE CONTEST ENTITIES. 10. DISCLAIMERS / LIMITATIONS ON LIABILITY: By ENTERING, ALL CONTEST ENTRANTS IN THE CONTEST agree that THE CONTEST ENTITIES assume no liability whatsoever for injuries or damages of any kind sustained in connection with THE use, acceptance, possession or awarding of ANY prize or while preparing for, participating in and/or traveling to or from any CONTEST-related activity, including, without limitation, any injury, damage, death, loss OR accident to person or property due to an intentional act, an act of negligence or default and/or any act of God. By entering the Contest, Contest Entrants agree to waive any right to claim ambiguity with the Official Rules. The Contest Entities are not responsible for human errors or for any damaged, tampered with, delayed, illegible, incomplete, inaccurate, garbled, late, lost, forged, misaddressed, misdirected, mutilated, mass machine-generated, unintelligible, incomprehensible, postage-due or stolen mail or entries or entries otherwise not in compliance with these Official Rules. In addition, Contest Entities are not responsible for any typographical errors in these Official Rules, Contest content or any advertising materials for the Contest, or for any kind of computer, electronic, hardware, software, Internet, network, technical or telephone failures and/or problems caused by the Sponsor and/or the Contest Entities or the user, or by any of the equipment or programming associated with or utilized in the Contest, or by any human, typographical, electronic, network or other error that may occur in receiving and/or processing of the entries in the Contest, or by infection by computer viruses, bugs, tampering, unauthorized intervention, fraud or technical failure. If the Contest becomes compromised, hampered, interrupted, not capable of running as planned, rendered impossible of performance in any way or prevented, including, without limitation, because of any kind of computer viruses, bugs, electronic, hardware, software, Internet, network, technical or telephone failures, tampering, unauthorized intervention, fraud, an event of force majeure or any other cause created by Sponsor and/or the Contest Entities, the user or by any of the equipment or programming associated with or utilized in the Contest, Sponsor reserves the right, at its sole discretion, to change the Official Rules, to cancel, modify, suspend or withdraw the Contest or any Contest offer and/or cancel, modify, suspend or withdraw any method of entry, without notice, and select Finalists from all entries received for the Contest prior to or after the cancellation, modification, suspension or withdrawal. As used herein, an event of force majeure shall be deemed to include, without limitation, an act of God; an act of terrorism, war, riot or civil commotion, fire, casualties, equipment failure, boycott; labor dispute, strike or stoppage (including a strike by the members of any union), labor or material shortage, transportation interruption of any kind, an act, regulation, order or request of or by any federal, state or local authority or quasi-governmental entity (whether or not the act, regulation, order or request proves to be invalid); or any other similar or dissimilar act beyond the Sponsor’s control. 11. GENERAL CONDITIONS OF ENTRY: All Contest Entrants, as a condition of entry, agree that they have not purchased any kind of Internet service whatsoever in order to participate in and/or enter the Contest. Contest Entrants agree not to knowingly damage or cause interruption of the Contest and/or prevent others from utilizing the Contest. GOVERNING LAW AND VENUE: The parties agree that the Contest and these Official Rules will be governed, construed and interpreted under the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction) which would cause the application of the laws of any jurisdiction other than the State of California. Each Contest Entrant agrees (i) that any or all lawsuits brought by Contest Entrants pursuant to these Official Rules or the Contest will be brought in the courts located in Los Angeles, California and (ii) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action. Contest Entrants hereby waive any and all objections to personal jurisdiction. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred including, without limitation, costs associated with entering this Contest but in no event attorneys’ fees. Under no circumstances will Contest Entrants be permitted to obtain awards for, and hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. 13.
